These Terms and Conditions (the “Terms” or this “Agreement”) establish the legally binding terms that govern your access to and use of the electronic trading platform operated by Koinpark Private Limited (the “Company,” “we,” “us,” or “our”). This includes any website or mobile application used to access the platform (collectively referred to as the “Site” or “App”), along with any related services made available through it (together, the “Platform”).

By registering an account, downloading the App, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy. This Agreement constitutes a binding contract between you, as an individual user (“you,” your,” or “User”), and the Company. If you do not agree to the Terms, you must uninstall the App and discontinue all use of the App and Platform without delay.

Investment Disclaimer

The content, materials, or information made available through the Site or Platform do not constitute, and shall not be interpreted as, a recommendation, endorsement, offer, solicitation, or invitation to engage in any transaction, purchase any product, or otherwise deal in securities, crypto assets, or related financial instruments. No part of the Site or Platform is intended to provide personalized advice regarding the nature, potential, value, or suitability of any specific investment, security, crypto asset, investment portfolio, transaction, or strategy.

No Professional Advice

The Site and Platform do not provide tax, legal, insurance, or investment advice of any kind. Nothing contained on or accessible through the Site or Platform shall be construed as an offer to buy or sell, or as a recommendation of, any security or crypto asset by the Company. You are solely responsible for evaluating whether any financial product, strategy, or service is suitable for your individual circumstances, investment goals, and financial condition.

Section 1

1. Definitions

1.1 Unless expressly stated otherwise or required by the context, capitalized terms used in these Terms shall have the meanings assigned below:

(a) Account

Refers to the user profile created upon registration by an individual who has either downloaded the App or accessed the Site and completed the necessary steps with the Company to use the Platform.

(b) App

The mobile application made available by the Company to facilitate access to the Platform.

(c) Digital Assets

Cryptographic or digital forms of value including, but not limited to, Bitcoin, Ether, and similar crypto-based currencies or assets.

(d) Digital Platforms

External software marketplaces that distribute applications, such as the Apple App Store, Google Play, and any similar platforms offering software downloads.

(e) Governmental Authority

Any national, regional, or local government entity or its political subdivisions, including bodies exercising governmental, legislative, judicial, regulatory, or administrative functions.

(f) Material

Includes any documents or data provided via the Platform, such as offering materials, product information, research publications, market insights, or term sheets.

(g) Personal Information

Data provided by a User that can be used, directly or indirectly, to identify that individual.

(h) Privacy Policy

Refers to the policy detailing how the Company collects, uses, and discloses a User’s Personal Information.

(i) Service Notifications

Informational messages sent by the Company to Users relating to activities on or concerning a User's Account.

(j) Third-Party Services Provider

An external entity offering financial, fiat-crypto exchange, or trading-related services, whose platform or services can be accessed through the Company’s Platform.

(k) Third-Party Account

A financial account independently established by a User with a Third-Party Services Provider to facilitate transactions.

(l) User

An individual who has completed registration with the Company to use the Platform and the Site.

User Identification Policy

The Company’s know-your-customer (KYC) procedures, implemented and updated periodically, to verify a User’s eligibility and access rights.

(m) User Credentials

The authentication tools and information issued to a User for access to the Platform, including user IDs, passwords, PINs, or tokens.

Section 2

2. Modifications

2.1 We reserve the right, at our sole discretion and at any time, to implement the following (collectively referred to as “Modifications”):

(a) Amend, revise, or otherwise alter the terms of this Agreement and/or our Privacy Policy;

(b) Make changes to the Site or Platform, including the addition, modification, or removal of any content, feature, or functionality;

(c) Introduce new fees, adjust existing charges, or establish additional conditions for access with reasonable advance notice.

2.2 Modifications may be enacted without prior notice, except where stated in clause (c). Updates will be published on our website or communicated via push alerts. Continued use constitutes acceptance.

Section 3

3. Guidelines for Platform Use

3.1When you download, install, access, or use the App, you are also subject to the terms and privacy policies of the relevant digital platform marketplace (the "Digital Platform Terms"). In the event of any conflict, these Terms take precedence.

3.2 The App is independently developed and is not associated with, endorsed by, or sponsored by any digital platform. We are solely responsible for the App and its underlying contents.

3.3 You acknowledge that the relevant Digital Platform and its subsidiaries are third-party beneficiaries of these Terms, and have the right to enforce these Terms against you directly.

Section 4

4. Mobile and Internet Service Requirements

4.1 By using the Site, you acknowledge that your use is subject to the terms of your agreement with your mobile or internet network provider. You are solely responsible for any data charges, carrier fees, or other costs incurred while accessing or using the Site.

Section 5

5. Eligibility and Account Setup

5.1 To access and use the Site and Platform, you must be at least eighteen (18) years old. You are required to register with the Company to use the Site and Platform, and by doing so, you agree to provide accurate and complete information during registration.

5.2 We have the sole discretion to approve or reject your registration with the Platform. Only users whose registrations are approved by us will be considered our active platform customers.

Section 6

6. Intellectual Property

6.1 All titles, ownership rights, and intellectual property rights related to the Site, Platform, and any data transmitted through it remain with the Company or its licensors.

6.2 The Platform may grant you access to content, quotes, or media ("Third-Party Content") provided by external entities. The Company does not endorse, recommend, or verify the accuracy or completeness of any Third-Party Content.

6.3 If you adhere to these Terms, you may download and use the Site on a single mobile device. In case of a violation, we reserve the right to terminate access immediately.

6.4 Prohibited Node Vectors:

  • (a) Alter, reproduce, reverse engineer, decompile, or disassemble the Site to uncover source files.
  • (b) Remove any copyright notices, branding tags, logos, or marks.
  • (c) Frame or scrape text data, layouts, or images to falsely replicate the Company setup.
  • (d) Modify, truncate, or filter the structural display sequence without consent.
  • (e) Use the logo or trademark files for unauthorized commercial paths.

6.5 User grants the Company permission to utilize processed operational parameters (geolocation, device metadata) to sustain secure routing layers.

Section 7

7. Account Management

7.1 Registration requires structural confirmation that you have understood the Risk Disclosure Statement. Users are strictly limited to one trading account. Creating duplicate pipelines triggers immediate cancellation.

7.2 Accounts do not operate as banking layers; assets held are not insured by any external governmental deposit authority and do not generate yield unless specified.

7.3 Funding transfers reflect on the internal omnibus ledger. Third-party bank wiring systems may apply independent network charges.

7.4 Withdrawal vectors demand dynamic verification. Processing blocks standard amounts up to 3 days, while exceptional size limits can expand processing times up to 30 days due to safety protocol layers.

7.5/7.6 We reserve total discretion to liquidate balances, hold records, or terminate node access instantly to satisfy Judicial Orders or cross-border regulatory mandates without prior alert or liability vectors.

Section 8

8. Trading Systems Architecture

8.1 - 8.3 Order Matching: The platform handles order alignment automatically via proprietary matchmaking engines. Orders matching ledger parameters execute instantly. Users cannot attempt orders scaling past clear ledger balances after fee subtractions.

8.4 - 8.6 Limits: Real-time tracking demands continuous attention from the user interface node. Modifying open vectors can prompt over-execution loops for which the platform assumes zero liability. Trading volume restrictions apply dynamically.

8.7 - 8.10 Execution Controls: Executed orders are absolute and non-reversible. Price data layers are technical approximations and could show transmission latency. The platform retains complete authorization to cancel, roll back, or freeze trades triggered by system disruptions or manipulation vectors.

Section 9

9. User Wallet Systems

Upon account activation, dual specialized storage entities (Fiat and Crypto Wallets) generate automatically. Pre-funding targets must clear before order routing occurs.

9.1 Terms of Fiat Wallet

Exclusively tailored to manage standard fiat conversions toward target crypto assets. Inward banking wires scale within 2 to 6 system processing days. Outward banking settlement queries require up to 5 business days subject to underlying infrastructure delays.

9.2 Terms of Crypto Wallet

Addresses must clear white-list validation parameters before withdrawals initiate. Attempting transmission of unsupported digital asset variations causes complete balance loss. While we maintain custody to execute instructions, asset equity parameters remain uniquely assigned to the user.

Section 10

10. Fees, Governance and Taxes

10.1 - 10.4 Fees Structure: Onboarding is asset-free. Active trading queries prompt a dedicated execution cut outlined explicitly inside our published Fee Schedule. Authorized processing pipelines encompass UPI, IMPS, NEFT, and RTGS patterns.

10.5 - 10.6 Tax Compliance: Tax reporting responsibilities rest fully on the user node. Where regional statutory codes mandate deduction patterns, the platform implements adjustments directly.

10.7 Discrepancy Window: Any fee dispute must land at support pipelines within 30 days. Beyond this limit, ledger processing statements become absolute and undisputed.

Section 11

11. Credential Security Standards

11.1 - 11.2 Assigned validation profiles are non-transferable. Koinpark engines will never dispatch communications requesting direct plaintext password disclosures or embed active login links inside external email bodies.

11.3 Mandatory Security Mandates:

(a) Never retain credentials in unprotected physical or digital spaces.

(b) Maintain encryption keys away from common discoverable patterns.

(c) Comply explicitly with privacy safety handbooks.

(d) Alert support instantly upon noticing credential leaks, tracking losses, or suspect actions.

(e) Deploy robust alpha-numeric complex passcodes.

11.4 - 11.5 Actions processed via correct structural credentials register as authorized user instructions. System patch maintenance for the user-end local terminal remains a strict user responsibility.

Section 12

12. Restricted Activities

12.1 Platform mapping cannot be leased, sold, sublicensed, or utilized toward processing scripts as a service bureau proxy block.

12.2 Prohibited Operational Behaviors:

(a) Unlawful or unauthorized processing fields
(b) Defamatory profiling targets
(c) Obscene or offensive text inputs
(d) Third-party product marketing pushes
(e) Harassment or intimidation attacks
(f) Discrimination or hate group vectors
(g) Infringing intellectual asset locks
(h) Hacking or site layout defacement
(i) Disrupting core platform throughput
(j) Mirroring interface layouts without consent
(k) Deploying scraper bots, spiders, or miners
(l) Harvesting user metrics without permission
(m) Dispatching unauthorized spam loops
(n) Creating multiple duplicate profile layers
(o) Utilizing unauthorized algorithmic high-frequency scripts
(p) Uploading virus codes or malicious files
(q) Advocating or promoting violent pathways
Sections 13 - 16

13. Security Systems

2FA implementation forms a mandatory protection layer. Complete end-to-end immunity from coordinated breaches cannot be implicitly guaranteed. Modified hardware layouts (Rooted or Jailbroken models) will trigger instant security blocks.

14. Permitted Actions & Indemnity

Users explicitly assert they are completely absent from global regulatory sanctions watchlists. Any breach mandates absolute user obligation to indemnify the Company from resulting third-party legal claims.

15. Data Materials Limitation

Data, pricing maps, and indices reflect information provider nodes. Ledger calculations remain absolute, and dispute notifications must be sent within a 3-day verification window.

16. Platform Alerts

Digital channels dispatching operational tracking notifications function over standard network paths. Unreachable contact entries justify sudden profile locks until corrected.

17. Personal Information Handling

17.1 - 17.3 Data capture maps seamlessly against the explicit rules of our Privacy Policy. Registering metrics certifies consent for forwarding validation parameters to third-party verification layers. Erroneous data nodes trigger profile suspension.

17.4 - 17.5 Geolocation tracking coordinates, IP logging vectors, network carrier tags, and device telemetry variables update automatically to maintain operational defense layers against illegal actions.

Sections 18 - 22

18. Liquidity Market Makers

We retain the right to engage specialized market makers who may operate under independent, more favorable fee models to enhance liquidity densities.

19. Core Platform Risks Disclaimer

SERVICES ARE LAYERED "AS IS" AND "AS AVAILABLE." ALL STATUTORY OR IMPLIED WARRANTIES OF QUALITY, MERCHANTABILITY, OR STRUCTURAL FITNESS ARE COMPLETELY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

20. Complete Liability Release

Users definitively discharge the Company and its affiliated directors from any claims, debts, losses, or systemic damages resulting from network errors, hacking exploits, identity leaks, phishing manipulations, or communication node outages.

21/22. Suspension Mechanics

Where cyber infractions or standard violations emerge, we maintain authorization to withhold balances, stop ongoing conversions, and freeze asset parameters completely.

Sections 23 - 26

23/24. System Records & Severability

Internal calculations represent conclusive evidence. If any standalone clause becomes invalid under local statutes, the remaining frameworks maintain absolute execution power.

25. Governing Law and Dispute Resolution

These Terms are governed by Indian law. Disputes resolve exclusively through binding arbitration under the Arbitration and Conciliation Act, 1996. The process takes place before a sole arbitrator at the official premises of Koinpark, conducted in English.
